1. Agreement to These Terms

EZAudio ("EZAudio", "we", "us", or "our") operates the website at ezaudio.io and related online services. These Terms of Service ("Terms") are a legal agreement between EZAudio and each person or organization that accesses or uses the Services ("you" or "User").

If you use EZAudio on behalf of a business, team, school, studio, or other organization, you confirm that you have authority to bind that organization to these Terms. If you do not agree to these Terms, you must not use the Services.

These Terms should be read together with our Privacy Policy and Cookie Policy.

2. EZAudio Service Entity Definition

EZAudio is an online AI audio platform built for users who need to complete audio tasks in the browser without installing desktop software. The current primary service entities are:

We may add, update, limit, or discontinue features as the product evolves. Any feature descriptions on this page refer to the Services as offered through the website at the time of use.

3. Eligibility and Account Responsibility

• You must be at least 16 years old, or the age of digital consent in your jurisdiction, whichever is higher.
• If you are under the age of majority, you may use EZAudio only with permission from a parent or legal guardian.
• You are responsible for keeping your account credentials secure and for activity under your account.
• You must provide accurate account, billing, and support information when requested.
• You may not create multiple accounts to bypass free limits, credits, security controls, or abuse-prevention rules.

4. User Content and Audio Rights

"User Content" means audio files, browser recordings, tracks, stems, text, transcripts, summaries, filenames, metadata, and other materials you upload, record, submit, or generate through EZAudio. As between you and EZAudio, you retain ownership of your User Content.

By submitting User Content, you grant EZAudio a limited, worldwide, non-exclusive license to host, store, transmit, process, reproduce, convert, and display that User Content solely as needed to provide, secure, troubleshoot, and improve the Services, comply with law, and enforce these Terms.

5. Acceptable Use

You agree not to use EZAudio for illegal, abusive, harmful, or rights-infringing activity. Prohibited uses include:

• Uploading or processing copyrighted music, recordings, performances, lectures, interviews, or other content without authorization where authorization is required.
• Recording people without consent where consent is required by law.
• Using outputs to mislead others, impersonate a person, violate privacy rights, or facilitate harassment, fraud, or unlawful surveillance.
• Attempting to bypass credits, usage limits, authentication, rate limits, or other access controls.
• Using bots, scrapers, automated bulk access, or reverse engineering to extract the Services, models, prompts, source code, or infrastructure behavior.
• Uploading malware, illegal content, exploitative content, hateful content, or content that threatens violence or harms minors.

We may suspend or terminate access, remove content, limit tasks, or block accounts when we reasonably believe these Terms, applicable law, or platform security requirements have been violated.

6. Credits, Usage Limits, and Payments

Some EZAudio features may require credits, subscriptions, free daily allowances, promotional rewards, referral rewards, or paid packages. Credit costs can vary by feature, file duration, processing complexity, plan, and system load.

• Credits may be deducted when you submit a processing task, start an audio workflow, or receive a completed output.
• Free, trial, promotional, or referral credits may expire or be limited to prevent abuse.
• Purchased credits, paid plans, and billing terms are shown at checkout or inside the product where available.
• Refunds are handled according to the purchase terms shown at checkout and applicable consumer protection law.
• Chargebacks, payment disputes, suspected fraud, or payment failures may result in account review, suspension, or credit adjustment.

If you invite new users through our referral or rewards features, you must do so lawfully and without spam, deception, fake accounts, or automated signups. See the Rewards page for currently available referral options.

7. AI Outputs and Accuracy

EZAudio uses AI and automated processing to generate transcripts, summaries, vocal-removed tracks, and separated stems. AI outputs can contain errors, omissions, artifacts, timing mismatches, misheard words, incomplete separations, or quality differences based on source audio.

You are responsible for reviewing outputs before relying on them, publishing them, distributing them, or using them in professional, legal, academic, medical, financial, or high-impact contexts. EZAudio does not guarantee that any transcript, summary, vocal removal result, or stem split will be complete, accurate, or suitable for a particular purpose.

8. Third-Party Processing and Infrastructure

EZAudio may use third-party providers for hosting, storage, databases, email, payment processing, analytics, diagnostics, and AI audio processing. Your content and task metadata may be transmitted to those providers only as needed to operate the requested feature, maintain security, process payments, or comply with law.

Third-party services may have their own terms and privacy practices. We are not responsible for third-party websites or services that are outside our control.

9. EZAudio Intellectual Property

EZAudio owns or licenses the website, software, interfaces, workflows, designs, text, logos, service names, databases, documentation, and other materials that make up the Services. These materials are protected by intellectual property and other laws.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, or create derivative works from the Services except where these Terms or applicable law expressly allow it.

If you send feedback, suggestions, bug reports, or product ideas, you allow EZAudio to use them without restriction, compensation, or attribution.

10. Copyright Complaints

EZAudio respects copyright and expects users to do the same. If you believe content processed through EZAudio infringes your rights, contact us with enough detail to identify the allegedly infringing content, your rights, your contact information, and a statement that you have a good-faith belief the disputed use is not authorized.

11. Privacy, Security, and Data Retention

Our Privacy Policy explains how we collect, use, share, retain, and protect personal information, uploaded audio, recordings, transcripts, summaries, and separated tracks. Our Cookie Policy explains cookies, local storage, session storage, and similar technologies.

No online service can guarantee perfect security or uninterrupted availability. You should keep backup copies of important files and outputs before deleting local or account data.

12. Service Availability and Changes

We aim to keep EZAudio reliable, but the Services may be interrupted, delayed, degraded, or unavailable due to maintenance, upgrades, model-provider limits, network failures, file-processing errors, security incidents, or events outside our reasonable control.

We may update, remove, rename, limit, or discontinue any part of the Services at any time. We may also change credits, usage limits, file limits, processing rules, pricing, and feature availability where permitted by law.

13. Disclaimers and Limitation of Liability

To the fullest extent permitted by law, EZAudio will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, lost content, business interruption, inaccurate AI outputs, audio artifacts, or unauthorized access resulting from your use of the Services.

To the fullest extent permitted by law, EZAudio's total liability for all claims relating to the Services or these Terms will not exceed the greater of the amount you paid to EZAudio in the 12 months before the claim or USD $100.

14. Indemnification

You agree to defend, indemnify, and hold harmless EZAudio, its affiliates, service providers, employees, contractors, and agents from claims, damages, liabilities, losses, and expenses arising from:

• Your use of EZAudio or outputs generated through EZAudio.
• Your User Content or your lack of rights to process that content.
• Your violation of these Terms, applicable law, or another person's rights.
• Your misuse of credits, rewards, referrals, accounts, or technical systems.

15. Suspension and Termination

You may stop using EZAudio at any time. You may request account deletion or support assistance by contacting [email protected].

We may suspend, limit, or terminate your account or access to the Services if we believe you violated these Terms, created risk for EZAudio or other users, infringed rights, abused credits or rewards, initiated fraudulent payments, or used the Services unlawfully.

Sections that by their nature should survive termination will survive, including intellectual property, User Content licenses needed for legal and security purposes, disclaimers, limitations of liability, indemnification, and dispute provisions.

16. Governing Law and Disputes

These Terms are governed by the laws of California, United States, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your jurisdiction require otherwise.

Before filing a formal claim, you agree to contact us at [email protected] and try to resolve the dispute informally. Nothing in these Terms limits rights that cannot be waived under applicable law.

17. Changes to These Terms

We may update these Terms to reflect product changes, legal requirements, payment changes, security needs, or business operations. When we update the Terms, we will change the "Last Updated" date above. For material changes, we may provide additional notice where required.

Your continued use of EZAudio after updated Terms become effective means you accept the updated Terms.
